1. Acceptance of Terms

By accessing this website, booking a service, or paying an invoice from Chaos to Order Virtual Services (“Service Provider,” “we,” “us,” or “our”), you (“Client” or “you”) agree to be bound by these Terms of Service. If you do not agree, please do not use our services or website.

2. Services Offered

Chaos to Order Virtual Services provides professional freelance, administrative, systems integration, and virtual assistant services. The specific scope, deliverables, timeline, and pricing structure for individual projects or engagements will be outlined in your proposal, invoice, or Statement of Work (SOW).

3. Payment Terms & Billing Structures

All payments are processed securely through our third-party payment processor, Stripe. Payment terms vary by service type as outlined below:

  • Scheduled Consultation & Strategy Sessions: Full payment is required at the time of booking to secure your appointment.
  • Project-Based Services (Multi-day, Multi-week, or Multi-month):
    • Deposit: A 50% non-refundable deposit is due at the time of booking to reserve project placement.
    • Milestone Payment (Optional/As Agreed): For longer engagements, a 25% milestone payment will be due on a mutually agreed-upon date.
    • Final Payment: The remaining balance (25% or final balance) is due upon project completion. Final project assets, access, and deliverables will not be released until the final balance is paid in full.
  • Monthly Retainer Services: Retainer clients are invoiced on the 1st of each month. Payment is strictly due by the 5th of the month.

4. Late Fees

Invoices for retainers or project milestones not paid by the due date are considered overdue. A late fee of 25% of the invoice total will be automatically applied to any payment that reaches 6 days past due. Continued non-payment may result in an immediate pause on all ongoing work and withholding of deliverables.

5. Cancellation & Refund Policies

  • Scheduled Meetings & Consultation Sessions: Payments for single scheduled sessions are non-refundable within 72 hours of the scheduled meeting time.
  • Project Deposits: The 50% initial project booking deposit is non-refundable once paid, as it reserves dedicated time on our production schedule.
  • Monthly Retainers: Retainer agreements require a written 30-day notice to cancel. You will be billed for services during the 30-day notice window, and unused retainer hours do not roll over.
  • General Refund Policy: Completed work and billed hours are non-refundable.

6. Intellectual Property & Asset Delivery

  • Ownership Transfer: Client owns final deliverables created specifically for them only after full and final payment of all outstanding invoices has been received.
  • Pre-Existing Materials: We retain ownership of all pre-existing workflows, templates, code, formulas, and internal systems used to deliver services.
  • Portfolio Rights: Unless a formal Non-Disclosure Agreement (NDA) is executed in writing, Chaos to Order Virtual Services reserves the right to display non-confidential client work in portfolio showcases and marketing materials.

7. Client Cooperation

Client agrees to provide timely feedback, passwords/access credentials, and necessary content. Work timelines depend on prompt client cooperation; delays in receiving client inputs may push back final delivery dates without invalidating payment milestones.

8. Limitation of Liability

To the maximum extent permitted by law, Chaos to Order Virtual Services shall not be liable for any indirect, incidental, consequential, or special damages. Total liability for any claim arising from our services shall not exceed the total amount paid by the Client to Chaos to Order Virtual Services for the specific engagement in question.

9. Governing Law & Dispute Resolution

These Terms of Service and any disputes arising out of or related to our services shall be governed by, construed, and enforced in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.
